Welcome to OFM Group. By accessing or using our services, including the OFM Group application, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

OFM Group is a talent management agency based in Hong Kong SAR. We provide talent representation, content management, and related services to our clients.

OFM Group is our proprietary tool that enables authorized users to publish content to TikTok through official TikTok APIs. The service includes:

• TikTok Login Kit integration for secure authentication
• Content upload and publishing capabilities (video.upload, video.publish)
• Access to basic user information (user.info.basic)

3. User Eligibility

You must be at least 18 years old to use our services. By using OFM Group, you represent and warrant that:

• You are legally capable of entering into binding contracts
• You have the authority to grant us permission to post content on your behalf
• All information you provide is accurate and complete

4. TikTok Integration and Authorization

By connecting your TikTok account to OFM Group, you explicitly authorize OFM Group to:

• Access your basic TikTok profile information
• Upload and publish video content to your TikTok account on your behalf
• Use TikTok's official APIs for content management purposes

You acknowledge that:

• You remain solely responsible for all content published to your TikTok account
• You must comply with TikTok's Terms of Service and Community Guidelines
• You can revoke authorization at any time through TikTok's account settings
• We act only as your agent and under your explicit instruction

5. Content and Intellectual Property

Your Content: You retain all rights to content you create and publish. By using our services, you grant OFM Group a limited license to process, upload, and distribute your content as necessary to provide the service.

Our Content: All intellectual property rights in OFM Group and related materials remain the exclusive property of OFM Group. You may not copy, modify, or reverse-engineer our technology.

6. Acceptable Use

You agree not to use our services to:

• Publish illegal, harmful, or infringing content
• Violate any applicable laws or regulations
• Impersonate others or misrepresent your affiliation
• Attempt to gain unauthorized access to our systems
• Distribute malware, spam, or other malicious content

7. Service Availability

We strive to maintain continuous service availability but do not guarantee uninterrupted access. We reserve the right to:

• Modify, suspend, or discontinue services at any time
• Refuse service to anyone for any lawful reason
• Update these terms with reasonable notice

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OFM Group provides services "AS IS" without warranties of any kind
• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount paid to us in the 12 months preceding the claim
• We are not responsible for TikTok's actions, policies, or service availability

9. Indemnification

You agree to indemnify and hold harmless OFM Group from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these terms
• Content you publish through our services
• Your violation of any third-party rights

10. Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to OFM Group will cease
• All API authorizations will be revoked
• Sections 5, 8, 9, and 11 survive termination

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Hong Kong Special Administrative Region, without regard to conflict of law principles.

Any disputes shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation, if negotiation fails
3. The courts of Hong Kong SAR, to which both parties submit to exclusive jurisdiction
